Terms of Service

1. Agreement
These Terms of Service ("Terms") govern access to and use of the Lovell Partner Portal (the "Portal"), operated by Lovell Government Services ("Lovell," "we," "us," or "our"), including associated websites, applications, APIs, and related services that present these Terms.
By accessing or using the Portal, creating an account, accepting an invitation, or submitting information through the Portal, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent (the "Partner"). If you do not agree, do not use the Portal.
2. The Portal and its purpose
The Portal is a secure web application used to support partner onboarding and collaboration for federal marketplace pathways (for example, VA FSS, ECAT, DAPA, GSA MAS, and related catalog or documentation workflows). Features may include company profile collection, multi-step playbooks, document and file exchange, messaging within workflow steps, notifications, administrative configuration by Lovell staff, and related tools.
The Portal is a business system for authorized Partner personnel and Lovell staff. It is not a consumer social network or a public marketplace website.
3. Eligibility and authorized users
- You must be at least 18 years of age and legally able to bind the Partner (if you act for a company).
- Accounts are provisioned by invitation or by Lovell administrators. Self-registration for unauthorized parties is not offered.
- You must use accurate information and keep credentials confidential.
- You are responsible for activity under your account, including devices used for multi-factor authentication.
4. Partner and staff roles
Partners use the Portal to complete assigned onboarding steps, upload required materials, communicate with Lovell through designated channels, and view status relevant to their account.
Lovell personnel use the Portal to administer partners, playbooks, templates, reviews, approvals, messaging, and related operations under Lovell's internal authorization model.
Lovell may change, suspend, or discontinue features, reassign work, lock or unlock steps, approve or reject submissions, or deactivate accounts as needed to operate the Portal and fulfill contractual or compliance obligations.
5. Account security
- You must use a strong unique password and complete multi-factor authentication (MFA) as required.
- Optional "Keep me logged in" extends session duration on a device subject to absolute and idle limits; only enable it on devices you control.
- Notify Lovell promptly if you suspect unauthorized access, lost devices used for MFA, or credential compromise.
- Lovell may invalidate sessions, require password resets, disable accounts, or require re-authentication for security reasons.
6. Information you submit
You and the Partner represent that information and files submitted (including company identifiers, contacts, logos, pricing structures, catalog documents, and other onboarding materials) are accurate, lawfully obtained, and submitted with authority. You grant Lovell a limited license to host, process, copy, and display such materials solely to operate the Portal, perform onboarding and related federal contracting support, and comply with law.
Sensitive identifiers (for example tax identification numbers, UEI, CAGE, DUNS) may be encrypted at rest and are used only for legitimate onboarding and compliance purposes. Do not upload content you are not authorized to share.
7. Acceptable use
You must comply with our Acceptable Use Policy, which is incorporated into these Terms. Misuse may result in suspension or termination and may be reported to appropriate authorities.
8. Intellectual property
The Portal, including software, design, branding, templates, documentation, and Lovell content, is owned by Lovell or its licensors. Except for limited use rights to access the Portal as permitted, no rights are granted. Partner marks and materials remain Partner property, subject to the license in Section 6.
9. Confidentiality
Materials exchanged through the Portal may be confidential or business-sensitive. You agree to use Portal content only for authorized onboarding and contracting purposes and not to disclose Lovell or third-party confidential information except as permitted by a separate agreement or law. Existing nondisclosure or partner agreements with Lovell continue to apply and control if more specific.
10. Communications
By using the Portal, you consent to receive operational emails and in-portal notices related to your account, security (including MFA and password reset), workflow status, and administrative messages. Transactional and security messages may be sent even if you opt out of optional marketing (the Portal is not primarily a marketing channel).
11. Third-party services
The Portal may rely on infrastructure and service providers (for example cloud hosting, databases, file storage, and email delivery). Your use may be subject to those providers' terms insofar as they apply to Lovell as customer; you are not granted a direct right to those platforms beyond Portal access.
12. Disclaimers
THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOVELL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Lovell does not warrant uninterrupted or error-free operation, that submissions will result in any particular contract award, catalog listing, or government approval, or that the Portal will meet every Partner requirement.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOVELL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE PORTAL OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. LOVELL'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PORTAL WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS PAID BY YOU TO LOVELL SOLELY FOR PORTAL ACCESS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY). Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the fullest extent permitted.
14. Indemnity
You and the Partner will defend, indemnify, and hold harmless Lovell from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Portal, (b) content you submit, (c) your breach of these Terms or law, or (d) infringement or misappropriation alleged from Partner materials.
15. Suspension and termination
Lovell may suspend or terminate access immediately for security incidents, policy violations, inactivity, Partner offboarding, legal requirements, or operational need. Upon termination, your right to access the Portal ends. Provisions that by nature should survive (including intellectual property, confidentiality, disclaimers, liability limits, and indemnity) survive termination.
16. Changes
We may update these Terms by posting a revised version on the Portal and updating the effective date. Material changes may also be communicated by email or in-portal notice. Continued use after the effective date constitutes acceptance of the revised Terms.
17. Governing law and venue
These Terms are governed by the laws of the State of Florida, excluding conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Escambia County, Florida, unless a written agreement with Lovell provides otherwise. You consent to personal jurisdiction there.
18. General
If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Lovell's consent; Lovell may assign to an affiliate or successor. These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Notice, and any written partner agreement that expressly addresses Portal use, form the entire agreement regarding the Portal. In case of conflict with a signed master agreement covering the same subject, the signed agreement controls for that subject.
